Running a business in Alberta comes with more than just day-to-day operations—it also means staying compliant with legal requirements that protect your corporation and its stakeholders. One of the most overlooked aspects of corporate governance is maintaining accurate corporate records and completing annual filings. These tasks aren’t just formalities—they’re essential for preserving your corporation’s good standing and avoiding unnecessary complications.

What does Corporate Maintenance Involve?
At Richards + Company, we offer comprehensive corporate maintenance services designed to keep your corporation organized and compliant. Here’s what that includes:
Registered Office Services – As the registered office for your corporation, our address is where any legal notices or documents required to be served on the corporation in Alberta will be delivered. We’ll forward it to you promptly and recommend a good litigation lawyer if necessary.
Annual Return Filing – Each year, the Registrar of Corporations issues an Annual Return. We handle the entire process—from completing the return to filing it electronically with Corporate Registry—and provide you with proof of filing for your records.
Annual Resolutions – Corporate law requires annual resolutions of both directors and shareholders. We prepare these resolutions for you and forward them for signing, ensuring your minute book remains complete and compliant.
Maintaining and Updating Corporate Records – Accurate records aren’t just a best practice—they’re a legal requirement. All changes (e.g. addresses, Directors, Shareholders) made throughout the year need to be recorded in the Minute Book. We maintain your corporate records so you can focus on running your business without worrying about administrative gaps.
Why is this Important?
Failing to maintain proper records or file annual returns can lead to serious consequences, including penalties, loss of good standing, and even dissolution of the corporation. These obligations safeguard your corporation’s legal status and protect directors and shareholders from unnecessary risk.
Our Annual Retainer
For peace of mind, we offer an annual retainer that covers:
